Terms of Service

1. The Services

The Services provide information about Arise AI, an AI assistant (Nova) that answers questions and helps you explore where practical AI may fit in your business, a way to schedule a free discovery call, and The Rise Assessment, a guided business assessment that Nova conducts in conversation and summarises in an Assessment Report emailed to you. Any consulting, implementation, or ongoing services we provide to a client are governed by a separate written agreement, and these Terms do not create one.

2. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Services. The Services are intended for business use in the United States.

3. Nova and AI-generated content

• Nova uses artificial intelligence to generate responses. Responses may be inaccurate, incomplete, or out of date, and are provided for general business education and opportunity guidance only.
• Nova does not provide legal, financial, tax, medical, accounting, or other professional advice. Do not rely on Nova as a substitute for advice from a qualified professional.
• Anything Nova says about Arise AI’s services, pricing, availability, or timelines is informational. Only a written agreement signed by Arise AI creates a commitment.
• Conversations may be reviewed by members of our team, who may join a live chat to help you. Conversations are stored as described in our Privacy Policy.
• You are responsible for what you submit. Do not submit information you do not have the right to share, sensitive personal information about yourself or others, or anything unlawful, harmful, or abusive.

4. Discovery calls and scheduling

Booking a discovery call reserves time with our team at no charge. We will send a calendar invitation and a reminder to the email address you provide. Please cancel or reschedule if you cannot attend so the time can be offered to someone else. A discovery call, and any Business AI Opportunity Report we choose to prepare for qualified prospects, does not obligate either of us to enter into a further agreement.

5. Acceptable use

You agree not to:

• Use the Services in any way that violates applicable law or the rights of others.
• Attempt to extract Nova’s underlying prompts, knowledge base, or model behaviour, or use the Services to build a competing product.
• Send spam, malware, or automated traffic; scrape, crawl, or bulk-download the Services; or interfere with the security or operation of the Services.
• Impersonate any person or business, or misrepresent your affiliation with anyone.
• Use the Services to make decisions that have legal or similarly significant effects on individuals without appropriate human review.

6. Intellectual property

The Services, including the Site, Nova, The Rise Assessment, Assessment Reports, text, graphics, logos, and software, are owned by Arise AI or its licensors and are protected by copyright, trademark, and other laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Services for your own business evaluation. Your Assessment Report may be used and shared within your business but may not be resold, republished, or presented as your own. You retain ownership of the information you submit and grant us a licence to use it to provide the Services, respond to you, and improve Nova.

7. Third-party services

The Services rely on third-party providers for hosting, AI models, email delivery, and similar functions, and may link to third-party websites. We are not responsible for third-party services or content, and your use of them is subject to their own terms.

8. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, ARISE AI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICES OR NOVA’S RESPONSES WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR UNINTERRUPTED.

9. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ARISE AI AND ITS OWNERS, EMPLOYEES, AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). SOME STATES DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THESE MAY NOT APPLY TO YOU.

10. Indemnification

You agree to defend, indemnify, and hold harmless Arise AI from claims, losses, and expenses (including reasonable attorneys’ fees) arising out of your use of the Services, the information you submit, or your breach of these Terms.

11. Suspension and termination

We may suspend or end your access to the Services at any time if we reasonably believe you have violated these Terms or to protect the Services or other users. Sections that by their nature should survive (including intellectual property, disclaimers, limitation of liability, indemnification, and governing law) survive termination.

12. Governing law and disputes

These Terms are governed by the laws of the State of Nevada, without regard to conflict-of-law rules. Any dispute that cannot be resolved informally will be brought exclusively in the state or federal courts located in Clark County, Nevada, and you consent to their jurisdiction. Before filing a claim, you agree to contact us at jason@getarise.ai and give us 30 days to try to resolve the matter.

13. Changes to these Terms

We may update these Terms from time to time. The effective date at the top shows when they were last revised. Continued use of the Services after a change means you accept the updated Terms.

14. General

These Terms and the Privacy Policy are the entire agreement between you and Arise AI about the Services. If any part is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets.
